Increasingly, to do anything relating to finance or business, you have to prove your identity. Perhaps surprisingly, there has previously been no requirement to prove your identity in relation to being a director or shareholder of a company (or a member of an LLP). That is changing – and failing to act will cause significant problems.
Who Is Affected?
The following will need to verify their identity with Companies House:
- Directors
- Shareholders who are a Person with Significant Control (PSC) – for most ordinary companies, that means someone with more than 25% of the shares
Identification requirements for other roles (e.g. corporate directors) will be phased in later. Traditional partnerships and sole traders are not affected, as they do not need to register with Companies House.
When to Act
This is quite complicated, but the requirement could apply any time after 18 November 2025.
The best thing to do is to look at the detailed guidance available on the Companies House website:
How to Verify Your Identity
You will need to create your own GOV.UK One Login account. It is a free service. You will then be guided through verification, which may include:
- Answering security questions online
- Uploading photo ID details
- Visiting a participating Post Office
Tips
- Companies House will increasingly communicate via the company’s official email address – so make sure someone is actively monitoring it.
- Read the guidance issued by Companies House. Search for “verify your identity with Companies House”, but ensure any links you follow are on the .gov.uk website – there will be scammers out there!
- Establish the deadlines for verifying the identities of directors and relevant shareholders.
- Make sure everyone acts promptly.
Failing to do so will result in problems filing documents – and could lead to fines or worse.
